Terms of Service

These Terms of Service govern your access to and use of Commlly, a platform for public relations, communications, events, invitations, guest experience and newsletters, available at commlly.com. By creating an account or using the platform you agree to these terms. If you are accepting on behalf of an organisation, you confirm you are authorised to bind it.

You must provide accurate information, keep your credentials confidential and are responsible for all activity under your account. You must be at least 16 years old and use Commlly for professional purposes. Notify us immediately of any unauthorised access.

Commlly is offered on Free, Pro, Business and Enterprise plans. Each plan includes defined allowances for invitations, newsletter emails, team members and storage. Paid plans are billed in advance, monthly or annually, through our payment provider, and renew automatically until cancelled. Fees are non-refundable except where required by law. We may change pricing with at least 30 days' notice before your next renewal.

Exceeding a plan allowance may pause sending until the next billing period or until you upgrade.

You retain all rights to the contacts, events, images and messages you upload. You grant Commlly a limited licence to host, process and transmit that content solely to operate the platform for you. You are responsible for having a lawful basis and, where required, consent to contact the people in your lists, and for complying with applicable data protection and anti-spam laws.

You agree not to use Commlly to:

• send unsolicited bulk email, purchased lists, or deceptive or misleading messages;
• upload unlawful, infringing, harassing or malicious content;
• impersonate another person or organisation;
• attempt to breach security, access other organisations' data, or disrupt the service;
• reverse engineer, resell or scrape the platform without our written permission.

We may suspend or restrict accounts that place the platform's sending reputation or security at risk.

Messages are sent from Commlly's managed sending infrastructure. Every newsletter includes an unsubscribe link and unsubscribed recipients are permanently excluded. We may throttle, queue or block sends to protect deliverability for all customers.

We aim for continuous availability but do not guarantee uninterrupted service. Maintenance, updates and factors outside our control may cause downtime. Features may change or be discontinued; we will give reasonable notice of material reductions in functionality.

Commlly relies on third-party providers for hosting, payments, email delivery, mapping and wallet passes. Your use of those features may also be subject to the relevant provider's terms. Google sign-in, where enabled, is subject to Google's own terms and to our Privacy Policy.

Commlly, its software, design, branding and documentation remain our property. These terms grant you a non-exclusive, non-transferable right to use the platform during your subscription.

You may cancel at any time; access continues until the end of the paid period. We may suspend or terminate accounts that breach these terms or that are unpaid. On termination, your data is deleted in line with the retention periods set out in our Privacy Policy. Export your data before cancelling.

The platform is provided "as is" without warranties of any kind to the extent permitted by law. To the maximum extent permitted by law, Commlly is not liable for indirect, incidental or consequential losses, lost profits or lost data, and our total aggregate liability is limited to the fees you paid in the 12 months preceding the claim. Nothing limits liability that cannot be limited by law.

You agree to indemnify Commlly against claims arising from your content, your use of the platform, or your breach of these terms or of applicable law.

We may update these terms. Material changes will be announced in the application or by email and take effect on the date shown above. Continued use after that date constitutes acceptance.

These terms are governed by French law, and the courts of Paris have exclusive jurisdiction, without prejudice to mandatory consumer protections in your country of residence. Questions: legal@commlly.com.
